Welcome to xplate LLC ("xplate," "we," "our," or "us"). By accessing or using our website located at www.xplate.fit (the "Site"), placing an order, or using any services we provide (collectively, the "Services"), you ("User" or "you") agree to be legally bound by these Terms & Conditions ("Agreement"). This Agreement incorporates by reference our Privacy Policy, Refund & Return Policy, and any additional guidelines or rules posted on the Site.

If you do not agree to all of these terms, you must immediately discontinue access to and use of the Site. We reserve the right to update, revise, or modify this Agreement at any time. Changes become effective upon posting.

xplate LLC is a limited liability company organized under the laws of the State of Nevada. Our principal address is 2104 Savona Ct. Vista, CA 92084.

You must be at least 18 years of age to use the Site and place orders. Users between the ages of 13 and 17 may browse the Site only under direct parental or legal guardian supervision. Children under 13 are strictly prohibited from using the Site.

If you create an account with xplate, you are solely responsible for maintaining the confidentiality of your login credentials and all activity that occurs under your account. Notify us immediately of any unauthorized use at support@xplate.fit.

xplate grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site solely for personal, non-commercial shopping and informational purposes. This license does not include the right to reproduce, distribute, publicly display, sell, lease, or transmit any content from the Site, or use automated tools, bots, or scrapers on the Site.

Any violation of these restrictions will result in immediate revocation of this license, termination of your account, and may subject you to legal liability.

You agree not to use the Services for any unlawful purpose, sublicense or resell the Services for commercial gain, infringe any intellectual property right, transmit unsolicited advertising, upload malware, or attempt to gain unauthorized access to the Site or its related systems.

Your placement of an order constitutes an offer to purchase. xplate reserves the right to accept or reject any order at its sole discretion. All prices are listed in U.S. dollars and may change at any time without notice.

xplate uses third-party payment processors to handle all transactions. We do not store your credit card or financial information on our servers.

Risk of loss and title for items purchased from xplate passes to you upon our delivery of the items to the carrier. Shipping times are estimates only and are not guaranteed.

Returns and refunds are governed by our Refund & Return Policy, which is incorporated herein by reference. In cases where a product defect or error on our part is involved, please contact us promptly at support@xplate.fit.

All content on this Site — including text, graphics, logos, icons, images, and software — is the property of xplate LLC and is protected by applicable copyright, trademark, and intellectual property laws.

Physical exercise involves inherent risks. You are solely responsible for consulting a qualified healthcare or fitness professional before beginning any new exercise program. All content on the Site is provided for informational purposes only and does not constitute medical advice.

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW.

IN NO EVENT SHALL XPLATE LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. XPLATE’S MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO XPLATE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100.00).

You agree to indemnify, defend, and hold harmless xplate LLC from and against any claims, liabilities, damages, and expenses arising out of your violation of this Agreement, your use of the Site, or your use of xplate products in an unsafe or improper manner.

Your use of the Site is also governed by our Privacy Policy, which is incorporated into this Agreement by reference.

xplate respects the intellectual property rights of others. If you believe content on our Site infringes your copyright, please send written notice to the contact information below.

The Site may contain links to third-party websites. These links are provided solely as a convenience and do not imply endorsement by xplate. xplate has no control over third-party sites and assumes no responsibility for them.

xplate may, at its sole discretion, suspend or terminate your access to the Site at any time. Upon termination, your license to use the Site immediately revokes and all provisions that by their nature should survive termination shall survive.

This Agreement is governed by the laws of the State of Nevada. Before initiating arbitration, you agree to first contact xplate in writing and attempt to resolve the dispute informally within sixty (60) days. Disputes not resolved informally will be resolved through binding, confidential arbitration in Reno, Nevada, under AAA rules.

Class Action Waiver: You and xplate agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any class, representative, or multi-party proceeding.

The Site is operated from the United States. If you access the Site from outside the United States, you are responsible for compliance with local laws.

xplate reserves the right at any time to modify, suspend, or discontinue the Site or any portion thereof, with or without notice.

This Agreement, together with the Privacy Policy and Refund & Return Policy, constitutes the entire agreement between you and xplate. If any provision is held invalid, the remaining provisions continue in full force. xplate shall not be liable for delays resulting from causes beyond its reasonable control (force majeure).
